Position: Director (Board of Directors)
Reports to: Chair of the Board
Length of Term: One – Three years
The position of Director is a critical governance role for the organization. It helps to ensure that the highest level of strategic and fiduciary oversight is present to ensure the long-term sustainability of the organization. While day to day operations are led by the General Manager (GM), the Board to GM relationship is a partnership, and the appropriate involvement of the Board is critical.
A Director is accountable for the following in their role as Board Member:
- Review all relevant materials and attend quarterly Board meetings prepared to discuss the materials
- Seek clarification and additional information when unsure about specific items
- Approve the annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities
- Actively participate in all meetings in an impartial manner, keeping the best interest of the organization as the priority
- Volunteer for and willingly accept assignments and complete them thoroughly and on time
- Participate in any relevant learning or educational opportunities
- Get to know other board/committee members and build a collegial working relationship that contributes to consensus
- Partner with the GM and other board members to ensure that board resolutions are implemented
- Participate in community meetings as an ambassador for the organization
- Other duties as required
Board Members will serve a one to three-year term and are eligible for re-appointment for one additional term. Board meetings will be held quarterly and committee meetings will be held in coordination with full board meetings.
In order for an individual to be successful in the role of Director, they need to demonstrate the following:
- Communication – the ability to effectively listen to and communicate (verbal & written) with other members of the Board of Directors in diverse situations
- Confidentiality – the ability to be honest and trustworthy and to understand that the matters that they are involved with are confidential and not to be shared outside the boardroom
- Strategic Thinking – the ability to see the pieces of the puzzle and keep the long term goals and objectives in mind while determining the best path forward
- Analytical Thinking – the ability to think through a situation or piece of information and generate questions about the pieces that don’t fit or don’t make sense. A willingness to identify alternatives based on personal knowledge and experience.
- Commitment – passionate about opportunity and committed to attending all meetings, being prepared and being an active participant in the meetings
Education / Experience:
This is an extraordinary opportunity for an individual that is passionate about business and growing the resources within the Champagne and Aishihik community. Selected Board Members will have achieved leadership stature in business, government or the non-profit sector.
Ideal candidates will have the following qualifications:
- Extensive professional experience with significant leadership accomplishments in business, government or the nonprofit sector
- A commitment to and understanding of Dakwakada’s overall business mandate
- A strong network to help make connections for the organization
- Savvy diplomatic skills and a natural affinity for cultivating relationships and persuading, convening, facilitating and building consensus
- Personal qualities of integrity, credibility and a passion for enabling organizational growth
The position of Director/Board Member receives re-numeration based on level of participation.
